1. Acceptance of Terms

By accessing or using Eurasia Wing's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all visitors, users, and business customers.

2. Business Relationship

Eurasia Wing provides B2B manufacturing services for fashion handbags and leather goods. Our services include:

• OEM (Original Equipment Manufacturing) services
• ODM (Original Design Manufacturing) services
• Custom product design and development
• Prototyping and sampling
• Bulk production and manufacturing
• Quality control and inspection
• Packaging and shipping services

3. Account Registration

To access certain features of our B2B platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Orders and Quotations

Quotation Process: All quotations provided by Eurasia Wing are valid for 30 days unless otherwise specified. Prices are subject to change based on material costs, exchange rates, and order specifications.

Order Confirmation: An order is considered confirmed only after we issue a written confirmation and receive your deposit payment. We reserve the right to refuse or cancel any order for any reason.

Minimum Order Quantity (MOQ): Our standard MOQ is 50 pieces per design. Custom MOQ arrangements may be negotiated for specific projects.

5. Payment Terms

Standard Payment Terms:

• 30% deposit upon order confirmation
• 70% balance before shipment
• Payment methods: Bank transfer (T/T), Letter of Credit (L/C), or other agreed methods

Late Payment: Orders may be delayed or cancelled if payments are not received according to the agreed schedule. Late payment fees may apply.

6. Production and Delivery

Production Timeline: Standard production time is 30-45 days after deposit payment and design approval. Rush orders may be accommodated with additional fees.

Sampling: Sample production typically takes 7-14 days. Sample fees may be refundable upon bulk order placement.

Delivery: Delivery times are estimates and may vary due to customs, shipping conditions, or other factors beyond our control. We are not liable for delays caused by third-party carriers or customs authorities.

7. Quality Control and Inspection

We conduct thorough quality inspections before shipment. Customers are encouraged to arrange third-party inspections at our facility. Any quality issues must be reported within 7 days of receiving the goods. We will work with you to resolve any legitimate quality concerns according to our Return & Refund Policy.

8. Intellectual Property

Customer Designs: You retain all intellectual property rights to designs you provide. We will not reproduce or sell your designs to third parties without your written consent.

Our Designs: All designs created by Eurasia Wing remain our intellectual property unless otherwise agreed in writing. You may not reproduce or sell our original designs without authorization.

Trademarks: You are responsible for ensuring that your products do not infringe on third-party trademarks or intellectual property rights.

9. Confidentiality

We respect the confidentiality of your business information, designs, and specifications. We will not disclose your confidential information to third parties without your consent. Both parties agree to maintain confidentiality regarding business terms, pricing, and proprietary information.

10. Limitation of Liability

Eurasia Wing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products. Our total liability shall not exceed the total amount paid by you for the specific order in question.

11. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, pandemics, or material shortages.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through:

• First, good-faith negotiation between the parties
• If negotiation fails, arbitration in accordance with international arbitration rules
• The arbitration shall be conducted in English or Chinese as agreed by both parties

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified terms.
