所有报价有效期为 30天，除非另有书面说明。由于原材料（Leather、Hardware）价格波动，逾期需重新核价。
All quotations are valid for 30 days unless otherwise stated in writing. Due to fluctuations in raw material prices (leather, hardware), expired quotations require re-pricing.
订单自收到客户预付款（Deposit）并由我司书面确认（Proforma Invoice）后正式生效。
Orders become effective upon receipt of customer deposit and written confirmation (Proforma Invoice) from our company.
样品费用将在大货订单达到约定金额后予以返还（或抵扣货款）。
Sample fees will be refunded (or deducted from payment) once the bulk order reaches the agreed amount.
大货生产严格以双方签字确认的"产前样"（Pre-production Sample）为准。客户对材质、颜色的细微偏差需在量产前确认。
Bulk production strictly follows the "Pre-production Sample" confirmed by both parties in writing. Customers must confirm minor deviations in material and color before mass production.
预付 30% 定金，余款 70% 在发货前付清（或凭提单副本 B/L Copy 支付）。
30% deposit in advance, 70% balance before shipment (or upon B/L copy).
推荐使用 Stripe Bank Transfer (Wire)。如使用信用卡支付，买家需承担相应手续费，且不得无故发起拒付（Chargeback）。
Recommended: Stripe Bank Transfer (Wire). If paying by credit card, buyer bears transaction fees and must not initiate chargebacks without valid reason.
在货款全额付清之前，货物的所有权仍归深圳欧亚翼科技所有。
Ownership of goods remains with Shenzhen Eurasia Wing Technology until full payment is received.
默认遵循 Incoterms 2020 (如 EXW, FOB Shenzhen, 或 CIF)。

因不可抗力（海关查验、港口罢工、原材料短缺）导致的合理延期，我司将及时通知，但不承担违约责任。
Reasonable delays due to force majeure (customs inspection, port strikes, material shortages) will be promptly communicated, but we assume no liability for breach.
客户须在收货后 15个工作日内 完成验收。
Customers must complete inspection within 15 working days of receipt.
如发现质量问题，须提供清晰的照片/视频证据。我司将根据实际情况提供返工、更换或相应比例的退款。
Quality issues must be supported by clear photo/video evidence. We will provide rework, replacement, or proportional refund based on actual circumstances.
手工缝制手袋允许有 ±3% 的尺寸误差及合理的天然皮质纹理差异。
Handcrafted bags allow ±3% dimensional tolerance and reasonable natural leather texture variations.
客户提供的设计图纸、Logo品牌，必须确保拥有合法授权。我司不承担因买家侵权引起的任何法律责任。
Customers must ensure they have legal authorization for all design drawings and logo brands provided. We assume no legal liability for buyer infringement.
本Terms 条款与条件 Conditions构成深圳欧亚翼科技有限Company与客户之间的完整协议。任何修改或补充须经双方书面同意。本协议受中华人民共和国法律管辖，任何争议应通过友好协商解决，协商不成的，Submit深圳国际仲裁院仲裁。
These Terms & Conditions constitute the complete agreement between Shenzhen Eurasia Wing Technology Co., Ltd. and the customer. Any modifications or supplements require written consent from both parties. This agreement is governed by the laws of the People's Republic of China. Disputes shall be resolved through friendly negotiation; if negotiation fails, submit to Shenzhen Court of International Arbitration.
